Acquisition by The Walt Disney Company of Shares in Twenty-First Century Fox, Inc.

ABSTRACT:

The proposed transaction is the acquisition by The Walt Disney Company (Walt Disney Co.) of Twenty-First Century Fox, Inc. (Fox) worth US$71.3 Billion, after the spin-off of a portfolio of Fox’s news, sports, and broadcast businesses, including the Fox News Channel, Fox Business Network, Fox Broadcasting Company, Fox Sports, Fox Television Stations Group, and sports cable networks FS1, FS2, Fox Deportes, Big Ten Network, and other assets.

Walt Disney Co., together with its subsidiaries, is a diversified worldwide entertainment company with operations in four (4) business segments: Media Networks, Parks and Resorts, Studio Entertainment, and Consumer Products and Interactive Media.

Fox is a diversified global media company with operations servicing three (3) main industry segments: cable network programming, television, and filmed entertainment.
