Acquisition by Maple Acquisition Corporation (Microchip Technology Incorporated)
of Shares in Microsemi Corporation

Microchip Technology Incorporated (Microchip) and Microsemi Corporation (Microsemi) have signed a definitive agreement pursuant to which Microchip, through Maple Acquisition Corporation, a wholly-owned and controlled subsidiary and a purpose-built investment vehicle of Microchip, will acquire Microsemi for US$68.78 per share in cash.

Microchip is a corporation duly organized and existing under the laws of Delaware. Microchip designs, manufactures and supplies microcontroller, mixed-signal, analog and Flash-IP solutions for use in a wide variety of embedded control applications.

Microsemi is a corporation duly organized and existing under the laws of Delaware. Microsemi offers a comprehensive portfolio of semiconductor and system solutions for aerospace & defense, communications, data center and industrial markets.
