ABSTRACT:

The proposed transaction relates to the acquisition by Pact Group Holdings Ltd. (Pact Group) of several rigid plastic packaging and closures businesses located in Asia operated by the Closure Systems International and Graham Packaging divisions of Reynolds Group Holdings Limited, which is ultimately held by Packaging Holdings Limited (Packaging Holdings).

The Philippine aspect of the proposed transaction involves the acquisition by Pact Group, through its subsidiary, Pact Group Industries Asia Pty. Ltd. (Pact Asia), of all of the issued shares in Closure Systems International Philippines, Inc. (CSI Philippines).

Pact Group is an Australian company engaged in the business of providing specialty packaging and manufacturing solutions in Australasia.

Packaging Holdings and the entities it controls are engaged in the business of manufacturing and supplying consumer food, beverage and food service packaging products.

In the Philippines, it operates through CSI Philippines, a company engaged in the manufacture of plastic beverage closures.
