Acquisition by Reckitt Benckiser Group Plc. of Mead Johnson Nutrition Company
Abstract:
Reckitt Benckiser Group plc (“Reckitt Benckiser”), is a British multinational consumer goods company headquartered in Slough, England and listed on the London Stock Exchange. It manufactures health, hygiene and home products. Mead Johnson Nutrition Company (“MJNC”), is a publically listed entity on the New York Stock Exchange. MJNC is a global leader in pediatric nutrition and principally manufactures and supplies nutrition products for infants and children.
Subject to receipt of the required shareholder and regulatory approvals, Reckitt Benckiser intends to acquire MJNC for $90 per share in cash. In order to effect the transaction, Reckitt Benckiser has incorporated a subsidiary (a Delaware entity) into which MJNC will merge, with MJNC being the surviving entity at completion.
