Abstract:
The transaction involves Everise Holdings (US), LLC’s (“Buyers’”) acquisition of C3/CustomerContactChannels Holdings L.P. (“Seller”) of all of the issued and outstanding shares (“Shares”) of C3/CustomerContactChannels Holdings, Inc., a Florida corporation.
C3/CustomerContactChannels Holdings, Inc., directly and through its Subsidiaries, is engaged in the business of providing inbound and outbound services from call centers, and from at-home agents, located within and without the United States, where the use of telephone (including land lines, wireless, IVR and VOIP) is a principal source of revenue, although other types of communications (including email and web-based communications, faxing and fulfillment services, including direct mail, package, coupon fulfillment and rebate fulfillment) are used, and providing training programs and curricula relating to the services described above, at various locations around the world.
C3/CustomerContactChannels Holdings, Inc. has a wholly-owned subsidiary, C3/CustomerContactChannels Philippines Ltd., a Bermuda company, that is licensed to transact business in the Philippines, as a branch office.
C3/CustomerContactChannels Philippines Ltd. – Philippine Branch Office is engaged in the business of providing business and knowledge process outsourcing services and allied customer contact services, and performance optimization solutions.
C3/CustomerContactChannels Philippines Ltd. – Philippine Branch Office is registered with the Philippine Economic Zone Authority (“PEZA”) as an Ecozone IT Enterprise, and exports all of its services, i.e., C3/CustomerContactChannels Philippines Ltd. – Philippine Branch Office does not provide services to the domestic market in the Philippines.
Everise Holdings, (US) LLC is a limited liability company managed by the Managing Member, Everise Holdings Pte. Ltd.
Everise Holdings Pte. Ltd. is an investment holding company wholly owned by ECP III Pte. Ltd.
ECP III Pte. Ltd. is a fund company, which makes equity-linked investments in companies that have or are reasonably expected to have significant operations. It is ultimately owned by Everstone Capital Partners III LP, an exempt limited partnership registered in the Republic of Singapore. Everstone Capital Partners III LP has a Limited Partnership Agreement with Everstone III Partners Ltd., under the terms of which the latter acts as the former’s General Partner. However, Everstone Capital Partners III LP has the option to terminate this agreement and change the General Partner.
